The Senior Contract Analyst is responsible for supporting in-house Legal Counsel as the primary contact within the Legal team for U.S. contracting matters with focus on the pharmaceutical industry. This position will be based 100% remote, not necessarily based out of Guerbet's Princeton, NJ office, also open to other locations in the US.
The Senior Contract Analyst will act as the first line of contract development and negotiation for contractual needs including commercial procurement, client sales (such as IT, contrast media and medical devices purchases), facilities, maintenance, marketing, and human resources service contracts, being responsible for the entire contract lifecycle and version control.
Your Role
- Propose revisions and drafts on various types of contracts including non-disclosure agreements, master service agreements and statements of work, general terms and conditions of sales, purchase and distribution agreements, software agreements, consulting contracts for the In-House Legal Counsel review.
- Conduct legal research as requested to support contract development and internal policies;
- Liaise with headquarters and other international subsidiaries to provide support for global and multinational contracts and contract templates under the supervision of in-house Legal Counsel.
- Analyze and document the requirements presented for review and approval by In-house Legal Counsel and Senior Management.
- Review the terms and conditions of requests for proposal from various departments, and conduct the contract administration in accordance with company policies, legal requirements and pre-approved standards, and sales/marketing guidelines.
- Prepare amendments and/or letters of notification to existing contracts based on company needs.
- Initiate changes to standard contract templates when business requirements change, submitting the necessary modifications to in-house Legal Counsel and maintaining the template library updated.
- Liaise with other functions such as Logistics, Finance, Credit, Procurement to ensure proposed terms can be supported by the respective functional areas on new and amended agreements.
- Communicate with all pertinent stakeholders and business functions to explain the consequences and risks associated with certain contractual language modified by external parties as well as providing feedback on alternative language.
- Prepare and monitor client contract expiration reports using in-house software solutions and inform the business team in order to trigger the renewal process.
- Act as subject matter expert for sales team on all sales programs available to customers, including complex rebate offers, as well as the respective contractual language reflecting such programs.
- Act as a point of contact for the sales team on pre-approved contract templates and utilization of certain in-house technical sales and/or marketing tools to prepare contracts and related amendments
- Perform other duties as assigned by In-house Legal Counsel to support local and international legal work.
Your Background
- 5 years+ of experience in contract development, contract administration or as a paralegal in a pharmaceutical corporation.
- Strong knowledge of contract language and formats including pricing and rebate structures.
- Knowledge of Contract Development.
- B.A. or B.S. in Business.
- Paralegal certification or J.D. from an ABA-Accredited Law School
- Excellent PC skills and systems skills; highly proficient in Microsoft Office suite as well as Adobe Acrobat or similar pdf software.
- Strong knowledge working with multiple systems.
- Ability to analyze data for reasonableness, anomalies, trends.
- Excellent interpersonal, communication (written and verbal) and teamwork skills.
- Experience with Sales, Marketing, Industrial and Legal contracting processes.
- Must be accurate, detailed and organized.
- Strong analytical and problem-solving skills.
- Ability to prioritize and quickly switch between multiple tasks.
- Ability to work in an international and multicultural environment
